XPAY Platform – General Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the XPAY Platform ("Platform"), including the website, mobile application, and all related services provided by XPAY and its affiliates ("XPAY," "we," "our," or "us"). By accessing, browsing, or using the XPAY Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue your use of the Platform.

1. Acceptance of Terms

By registering, accessing, or using any part of the XPAY Platform, you confirm that:

  • You are at least 18 years of age and legally capable of entering into binding contracts.
  • You agree to comply with these Terms, our Privacy Policy, and any other applicable terms or policies related to the XPAY Platform.
  • You agree that these Terms may be updated from time to time without prior notice, and it is your responsibility to review these Terms periodically.

2. XPAY Services

XPAY acts as an intermediary between you and the service providers or merchants featured on the platform. As an authorized reseller, XPAY is allowed by these providers to offer their products and services through the XPAY Platform. XPAY does not directly supply any of the services or products listed on the platform. Instead, it partners with a range of service providers, including telecommunications companies, cable TV providers, insurance companies, and utility services. The XPAY Platform provides a secure and convenient method for making payments for these services. Additionally, XPAY facilitates the purchase of goods from various merchants, acting as a reseller to enable transactions between you and the merchant. The services offered through its Platform, including but not limited to:

  • Digital wallet services
  • Payment gateway services
  • Bill payments and recharge services
  • Offers, promotions, and discounts from merchants
  • Other services introduced by XPAY from time to time

XPAY reserves the right to modify or discontinue any service at any time without prior notice.

3. Account Registration

To use certain services on the XPAY Platform, you must register for an account. By registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information.
  • Safeguard your login credentials and be solely responsible for all activities that occur under your account.
  • Notify XPAY immediately of any unauthorized use of your account or any other security breach.

XPAY reserves the right to suspend or terminate your account if any information provided during registration is found to be inaccurate or fraudulent.

4. User Responsibilities

When using the XPAY Platform, you agree that:

  • You will not engage in any unlawful, fraudulent, or abusive activities while using the Platform.
  • You will not use the Platform for any transactions that involve illegal activities, including but not limited to money laundering, terrorist financing, or any other activities prohibited by law.
  • You are responsible for maintaining the confidentiality of your account and payment information.
  • You will comply with all applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) obligations.

5. Payment and Transactions

XPAY provides a secure platform for processing payments and facilitating transactions between users and merchants. You agree to the following when making transactions on the XPAY Platform:

  • You authorize XPAY to process payments on your behalf, subject to the terms of use for each payment method.
  • All payments made through the Platform are final, and XPAY will not be liable for any disputes between you and merchants or service providers regarding the quality of goods or services.
  • XPAY may, at its discretion, impose limits on the number or amount of transactions you can conduct.
  • Any transaction errors, including double payments or unauthorized charges, must be reported to XPAY within 30 days for investigation.

6. Fees and Charges

XPAY may charge fees for certain services provided through the Platform. You will be notified of any applicable fees before initiating a transaction, and it is your responsibility to review and agree to these fees before proceeding. Fees are non-refundable unless otherwise stated in the terms of the specific service.

7. Promotions and Offers

XPAY may, from time to time, provide promotions, discounts, or special offers on products and services. These offers are subject to the following:

  • Offers are available for a limited time and may be subject to eligibility criteria.
  • XPAY reserves the right to modify or withdraw offers without notice.
  • You agree to abide by the specific terms and conditions of each offer.

8. Intellectual Property

XPAY and its licensors retain all ownership and intellectual property rights in the XPAY Platform, including its software, design, trademarks, logos, and content. You are granted a limited, non-transferable, non-exclusive license to use the Platform for personal, non-commercial purposes.

You agree not to:

  • Copy, modify, distribute, or create derivative works based on the Platform’s content.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform for any unlawful or unauthorized purpose.

9. Data Protection and Privacy

XPAY is committed to protecting your privacy and the security of your personal information. By using the Platform, you agree to the collection, use, and sharing of your information as outlined in our Privacy Policy.

You also agree that:

  • XPAY may collect and process personal information, including sensitive information, in compliance with applicable data protection laws.
  • XPAY may share your information with third-party service providers to facilitate transactions or provide services, subject to our Privacy Policy.

10. Suspension and Termination

XPAY reserves the right to suspend or terminate your access to the Platform at its discretion, without prior notice, in the following cases:

  • Violation of these Terms or any applicable law.
  • Engaging in fraudulent, illegal, or abusive behavior.
  • Failure to maintain up-to-date and accurate account information.
  • Any other reason that XPAY deems necessary for the protection of its business, users, or Platform.

Upon termination, your right to use the XPAY Platform and any services will immediately cease, and any outstanding obligations or liabilities will remain in effect.

11. Limitation of Liability

To the fullest extent permitted by law, XPAY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruptions, or loss of data, arising out of your use of the Platform or services.

XPAY's total liability to you for any claim arising from these Terms shall be limited to the amount paid by you for the services giving rise to the claim, or MVR 1,000 (one thousand Maldivian Rufiyaa), whichever is less.

12. Indemnification

You agree to indemnify and hold harmless XPAY, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising from or related to:

  • Your use of the XPAY Platform or services.
  • Your breach of these Terms or any applicable laws or regulations.
  • Any disputes with third-party merchants or service providers.

13. Force Majeure

XPAY shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, power outages, internet disruptions, or governmental actions.

14. Governing Law and Jurisdiction

These Terms and any disputes arising from or related to your use of the XPAY Platform will be governed by the laws of the Republic of Maldives. The courts of Maldives shall have exclusive jurisdiction over any disputes or claims arising from these Terms.

15. Amendments

XPAY reserves the right to modify or update these Terms at any time without prior notice. Any changes will be effective upon posting on the XPAY Platform, and your continued use of the Platform constitutes acceptance of the updated Terms.
